I focus my legal practice on start-up corporate transactions, secured lending, mergers & acquisitions, initial employment contract and offer negotiations, general corporate representation, securities needs and finance transactions. I currently represent several venture capital funds as well as numerous start-ups. I grew tired of the big law firm model and decided to start my own firm focusing on the needs of my clients. I found the best way to allow my client to be completely open with me, and to foster maximum communication was not to bill my clients by the hour. I developed a flat fee legal fee model in which I serve as outside general counsel and corporate secretary to a number of my clients based on a flat monthly fee arrangement. I also use a flat fee model on a project-by-project basis. When a client knows they can call me with no additional charge (and their actual charge is a fixed amount every month), the lines of communication begin to flow. This helps the client as well as me. It is amazing how the relationship grows and a mutual trust is built. I also found that this model works very well with big law firms who are called in to complete major transactions and litigation matters. I received very positive feedback from the partners at the large firms who I worked with on mutual clients.
I am experienced in all forms of corporate, employment, secured lending and finance transactions with a particular emphasis on handling day-to-day legal work for start-ups and high growth companies. My business and legal experience includes working for Kirkland & Ellis and Intel Corporation, where I worked for one of the most active merger & acquisition groups in the country. I led several major strategic transactions and investments in Silicon Valley during the late 1990’s.
I have big firm and big corporation training, wisdom and experience to provide to clients at much less than small law firm pricing models. I have offices in Boston, New York City and Mountain View.
